1. ACCEPTANCE OF TERMS
1.1. These Terms of Service ("Terms") form a legally binding agreement between you ("User", "Customer", "you") and SterHK Limited ("Company", "we", "us").
1.2. By creating an Account, purchasing services, or otherwise using the Platform, you confirm that you have read and understood these Terms, agree to be bound by them, and are legally capable of entering into binding contracts.
1.3. These Terms incorporate by reference the Company's Privacy Policy and Refund & Cancellation Policy.
1.4. If you do not agree with these Terms, you must immediately stop using the Platform.
1.5. The Company reserves the right to update these Terms at any time; material changes will be communicated via email or Platform notifications.
2. NATURE OF THE PLATFORM AND SERVICES
2.1. Digital Marketplace Role: The Company operates a B2C digital marketplace platform (the "Platform") providing an intermediary infrastructure. The Platform connects Customers seeking professional digital coaching, educational guidance, and gameplay consulting with third-party independent freelance coaches ("Independent Coaches"). The Company itself does not provide the coaching services, but facilitates the connection and secures the transaction via an escrow model.
2.2. Independent Contractor Status: All Independent Coaches are independent contractors. They are not employees, agents, or representatives of SterHK Limited. The Company does not direct, control, or supervise the Independent Coaches in the performance of their services.
2.3. Status of Work: A Service is deemed "Started" only when an assigned Independent Coach has begun material performance of the Service, including scheduled coaching sessions, gameplay consulting, or other substantive advisory actions.
2.4. Exclusivity: During the active period of an Order, the Customer agrees to coordinate exclusively with the assigned Independent Coach through the Platform to ensure the successful delivery of the coaching session without scheduling conflicts.
2.5. Scope of Services: The Service is strictly limited to the specific consulting or coaching options selected and paid for at the time of the Order; additional requests made via chat are not binding unless a separate Order is placed.
3. ACCOUNT REGISTRATION AND SECURITY
3.1. Eligibility: Users must be at least 18 years old and not located in jurisdictions subject to sanctions (OFAC, EU, UN, or Hong Kong restrictions).
3.2. Account Responsibility: You are responsible for safeguarding login credentials and monitoring all activity under your Account.
3.3. Session Security: Users are advised to keep all session-related communication within the Platform's designated chat or official channels. We do not require, nor should you ever share, your personal game account passwords with our Independent Coaches. All services are strictly coaching-based.
3.4. Platform Integrity & Non-Circumvention: Users are strictly prohibited from soliciting, inducing, or engaging in transactions outside the Platform. Sharing of personal contact information (including but not limited to Discord tags, Skype, personal emails, social media handles, or external payment links) within the Platform's internal chat system is strictly forbidden. Any attempt to circumvent the Platform's fee structure or conduct off-platform business will result in immediate permanent termination of both the Customer's and the Independent Coach's accounts, forfeiture of any escrowed funds, and a permanent ban.
4. PAYMENTS AND FEES
4.1. Payment Methods: Payments are processed via secure, compliant third-party payment processors. The Company does not store full credit card information.
4.2. 3D Secure: Mandatory 3D Secure (3DS) verification is required for all card transactions to prevent fraudulent activity.
4.3. Administrative Fee: For refunds requested before the Service starts (by Customer's choice), a non-refundable 10% administrative fee is withheld. This fee reflects non-recoverable processing, compliance, and platform operational costs.
4.4. Service Fulfillment & Escrow: The Company processes the payment upon checkout and holds the funds securely. The Order remains active in our system until the assigned Independent Coach marks the coaching Service as delivered and the Customer confirms acceptance (or the dispute window expires). Only after successful completion are the funds released to the Independent Coach.
5. DELIVERY AND CANCELLATION POLICY
5.1. Coordination: Specific start and completion times are coordinated between the Independent Coach and the Customer via the internal chat system.
5.2. Inactivity Auto-Refund: If no Independent Coach is assigned or fails to initiate contact/service within 24 hours of the Order placement, the Customer is entitled to a full 100% refund without administrative fees.
5.3. Partial Refunds: Refunds for cancellations during an active coaching session are calculated based on the uncompleted portion of the Order minus the administrative fee, as detailed in the Refund & Cancellation Policy.
5.4. Manual Confirmation: If the Customer explicitly confirms delivery on the Platform (clicks "Confirm" or "Accept"), the Order is considered closed, and the right to a refund is immediately waived.
5.5. EU Consumer Right of Withdrawal Waiver: For Users residing within the European Union (EU) or European Economic Area (EEA), by placing an Order, you expressly request and consent that the performance of the digital services (assignment of an Independent Coach and preparation) begins immediately. You explicitly acknowledge and agree that once the Independent Coach is assigned and material performance begins, you lose your statutory 14-day right of withdrawal (Right of Withdrawal) under EU consumer protection laws.
6. DISPUTE RESOLUTION AND PENALTIES
6.1. Support Tickets: All disputes must be initiated via the Platform's Ticket System.
6.2. Evidence: Independent Coaches are required to maintain screenshots or video evidence of "Start", "Progress", and "Completion" of the coaching session to resolve any disputes.
6.3. Auto-Completion: Orders not contested within 72 hours (3 days) of the delivery notification are automatically marked as completed and funds are released to the coach.
6.4. Prohibited Behavior: Any use of prohibited software, toxicity, or violation of standard gaming conduct by the Customer during a coaching session results in immediate termination of the session without a refund.
7. LIMITATION OF LIABILITY AND RISKS
7.1. No Affiliation: The Company is not affiliated with or endorsed by any game publisher and does not guarantee compliance with their rules.
7.2. Assumption of Risk: The Customer acknowledges that all consulting and coaching services are educational and advisory in nature. The Company disclaims liability for the Customer's subsequent performance or actions within any third-party gaming environment.
7.3. No Guarantee of Results: All coaching and consulting services are provided "as is". The Company and its Independent Coaches do not guarantee any specific outcomes, improvement in gameplay skills, or achievement of specific in-game ranks.
8. GOVERNING LAW AND ARBITRATION
8.1. Governing Law: These Terms are governed by and construed in accordance with the laws of Hong Kong.
8.2. Dispute Resolution & Jurisdiction: Any dispute, controversy, difference, or claim arising out of or relating to these Terms shall be referred to and finally resolved by the exclusive jurisdiction of the courts of Hong Kong. However, if you are a consumer residing in the European Union (including Germany), this choice of jurisdiction does not deprive you of the protection afforded to you by provisions that cannot be derogated from by agreement under the law of your country of residence, allowing you to bring claims in your local courts.
