Public Offer / User Agreement

Company: SterHK Limited, incorporated in Hong Kong ("Company", "we", "us").
Platform: winforge.gg ("Platform")
This Public Offer / User Agreement ("Agreement") constitutes a legally binding offer to Users for accessing and using the Platform. By accepting this offer, Users enter into a binding contract with the Company.
1. General Provisions
- 1.1. This Agreement regulates the terms of access and use of the Platform, purchase and provision of Services, and interactions between Customers, Independent Coaches, and the Company.
- 1.2. The Agreement is a public offer under Hong Kong law and becomes binding upon acceptance by the User.
- 1.3. Users confirm that they have read, understood, and agreed to the Agreement before using the Platform.
- 1.4. All definitions from the Terms of Service, Privacy Policy, and Refund Policy apply.
2. Acceptance of the Offer
- 2.1. The offer is deemed accepted when:
- a user registers an Account,
- places or accepts an Order,
- or otherwise uses the Platform.
- 2.2. Acceptance creates a binding contract between the User and the Company.
- 2.3. Users who do not accept the terms must immediately cease use of the Platform.
3. Services
- 3.1. The Platform provides a marketplace connecting Customers seeking digital coaching, educational guidance, and gameplay consulting with third-party independent freelance coaches ("Independent Coaches").
- 3.2. The Company is an intermediary and does not guarantee performance of Services.
- 3.3. Users agree that all contractual obligations regarding service execution lie between the Customer and the Independent Coach.
- 3.4. All Services are strictly coaching-based and are delivered through legitimate cooperative gameplay, instruction, and consultation. The Platform does not require, request, or facilitate the sharing of game account credentials, and offering or requesting such access is a prohibited activity under this Agreement.
4. Account Registration
- 4.1. Users must register an Account with accurate information.
- 4.2. Users are responsible for maintaining confidentiality of their Platform Account login credentials. Game account credentials are never to be shared with the Company, the Platform, or any other User.
- 4.3. Accounts may be suspended or terminated for violations, fraud, or failure to provide KYC documents.
5. Orders and Payments
- 5.1. Customers place Orders through the Platform specifying desired Services.
- 5.2. Independent Coaches accept or reject Orders at their discretion.
- 5.3. Payments are processed via the Platform and may be held in escrow until completion.
- 5.4. Commissions, fees, and payment schedules are governed by the Terms of Service and Refund Policy.
6. User Obligations
6.1. Customers must:
- provide accurate information for Service delivery,
- not request illegal or prohibited Services,
- comply with game publishers' rules.
6.2. Independent Coaches must:
- deliver Services as described and on time,
- maintain confidentiality of Customer data,
- never request, accept, or use a Customer's game account credentials,
- avoid hacks, cheats, or other prohibited software.
6.3. Users shall not circumvent the Platform or engage in fraud.
7. Intellectual Property
- 7.1. The Platform, design, content, and trademarks belong to the Company.
- 7.2. Users may not copy, distribute, or reproduce Platform content without consent.
- 7.3. Independent Coaches grant Customers a limited license to use delivered Services for personal purposes.
8. Data Protection
- 8.1. Users consent to processing of personal data according to the Privacy Policy.
- 8.2. KYC/AML documents are handled in accordance with AML/KYC Policy.
9. Refunds and Cancellations
- 9.1. Refunds and cancellations are governed by the Refund & Cancellation Policy.
- 9.2. Users must follow the procedure on the Platform; unauthorized chargebacks are prohibited.
10. Limitation of Liability
10.1. The Company is not liable for:
- Services performed by Independent Coaches,
- account restrictions or bans by game publishers,
- indirect or consequential damages.
10.2. Total liability is limited to the lesser of EUR 500 or the total amount paid to the Platform in the past 6 months.
11. Suspension and Termination
- 11.1. Accounts may be suspended or terminated for violations of the Agreement or Prohibited Activities.
- 11.2. Termination does not release Users from obligations incurred prior to termination.
- 11.3. Funds may be withheld in cases of fraud, disputes, or regulatory requirements.
12. Dispute Resolution
- 12.1. Internal disputes are handled via the Platform's support system.
- 12.2. Unresolved disputes shall be referred to and finally resolved by the exclusive jurisdiction of the courts of Hong Kong.
- 12.3. Court decisions are final and binding.
13. Governing Law
This Agreement is governed by the laws of Hong Kong.
14. Force Majeure
The Company is not liable for failure to perform due to events beyond its reasonable control, including cyberattacks, internet outages, natural disasters, or governmental actions.
15. Modifications
- 15.1. The Company may update this Agreement to reflect changes in law, services, or operational procedures.
- 15.2. Updates are effective upon posting on the Platform.
16. Severability
If any provision is invalid or unenforceable, the remaining provisions remain effective.
17. Entire Agreement
This Agreement, together with the Terms of Service, Privacy Policy, Refund & Cancellation Policy, Cookie Policy, and AML/KYC Policy, constitutes the entire agreement between the Company and Users.
